Updated HVA Articles of Organization and Bylaws


Over the last few months, a handful of us—board members, volunteers, and friends from down the street—have been working together to give our by‑laws a much‑needed refresh. We listened to your feedback, swapped ideas, and even had an attorney in the neighborhood give the final draft a legal once‑over.

The result? A clearer, friendlier set of rules that better fits how our neighborhood works today. Below is a quick peek at the biggest tweaks you’ll be asked to vote on at the upcoming Member Meeting on May 8, 2025:

  • Legal and Tax Compliance Added - New language affirms compliance with the SC Nonprofit Corporation Act and IRS 501(c)(4) status, including powers, no private inurement, and permitted political advocacy.
  • Committee Structure Strengthened - Clearly defined standing and ad hoc committees with responsibilities, including required annual reports and structured nominating procedures.
  • Voting and Meeting Procedures Modernized - Introduced electronic voting, quorum thresholds, and detailed election procedures, while prohibiting proxy voting and clarifying member eligibility.
  • Governance Clarifications and Risk Protections - Enhanced officer and director role definitions, conflict of interest disclosures, and indemnification consistent with nonprofit best practices.

We think these updates will make responsibilities clearer, keep us in step with current laws, and smooth out day‑to‑day decisions for everybody.
